Terms of Service

In consideration of the mutual covenants and agreements contained herein, the parties agree as follows:

Copyright and Ownership

All copyright and other intellectual property rights in and to the Project deliverables shall be owned by Client. Designer shall retain a non-exclusive, perpetual, royalty-free license to use the Project deliverables for the purpose of showcasing Designer’s work in Designer’s portfolio and marketing materials.

Dispute Resolution

Any disputes that arise during the course of this project will be resolved through negotiation. If the parties are unable to reach an agreement, the dispute will be resolved by binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be held in Frederick, MD and the decision of the arbitrator shall be final and binding on the parties.

General Terms

This Contract shall be governed by and construed in accordance with the laws of the State of Maryland, without regards to conflict of law principles. If any provision of this Contract is held to be invalid or unenforceable, such provision shall be struck from this Contract and the remaining provisions shall remain in full force and effect. This Contract may not be assigned by either party without the written consent of the other party.

Termination

Either party may terminate this Contract for any reason upon 15 days’ written notice to the other party. In the event of termination a pro-rated refund will be issued for any work not yet completed.
